Welcome to Nemadhi LLP, a limited liability partnership having its registered office at A-402, 4th Floor, Shriram Signiaa, Neeladri Road, Electronic City, Bengaluru – 560100, bearing LLPIN: ACW-3822, (hereinafter referred to as “We”, “Us”, or “Our”). We offer counselling and mental wellness services through virtual and in-person sessions intended to support emotional wellbeing, personal growth, and psychological health (“Services”). These Terms of Use (“Terms”) constitute a legally binding agreement between you (“You”, “Your”, “Client”) and Us.
These Terms govern Your access to and use of www.nemadhi.com, including all associated webpages, booking portals, forms, applications, and related features and Services (“Website”). By accessing, browsing, registering on, booking a session through, or otherwise using the Website, You acknowledge that You have read, understood, and agree to be bound by these Terms, together with the Privacy Policy available here (“Privacy Policy”) as amended from time to time. These Terms and the Privacy Policy together constitute a legally binding agreement governing Your access to and use of the Website and Services.
For the purposes of these Terms, any reference to “Counsellor” shall mean counselling psychologist or other qualified mental health professional engaged by Us to provide the Services. The Counsellor provides psychological support within the scope of their professional qualifications. The Services are not a substitute for emergency medical care, psychiatric treatment, or crisis intervention services.
If You do not agree to these Terms of Use or the Privacy Policy, You must refrain from accessing or using the Website or Services.
1. NATURE OF SERVICES
1.1 We provide the following support services:
a. Individual counselling and therapy;
b. Relationship counselling, which shall include both couples and families;
c. Adolescent counselling (for individuals below the age of 18);
d. Career counselling and DMIT-based personality and career assessments;
e. Group counselling sessions;
f. School counselling;
g. Psychoeducation and awareness sessions;
h. Corporate mental health workshops.
1.2 The concerns typically handled by the Counsellor include, but are not limited to:
a. Anxiety, stress, and low mood
b. Relationship concerns and interpersonal difficulties
c. Emotional regulation difficulties
d. Parenting concerns
e. Self-development and personal clarity
f. Career assessment and vocational guidance
1.3 The Website is an online platform through which You may obtain information regarding the Services, schedule counselling appointments, and receive counselling sessions from the Counsellor.
1.4 The Services are intended solely to provide non-emergency psychological support and promote general mental well-being. The Website and the Services do not constitute, and shall not be used as, a crisis intervention service, emergency mental health helpline, psychiatric facility, or a substitute for emergency medical or psychiatric care.
1.5 The Counsellor is a qualified counselling psychologist and is NOT a psychiatrist, medical practitioner, or other licensed healthcare professional. Thus, the Counsellor does not prescribe medication, diagnose medical or psychiatric conditions, or provide medical treatment. If You require or seek medical or psychiatric assessment or treatment, You should seek assistance from an appropriately qualified healthcare professional.
1.6 If You are experiencing a mental health emergency, immediate danger, suicidal ideation or self-harm, or otherwise require urgent medical or psychiatric intervention, You must not rely on the Website or the Services and should immediately contact the appropriate emergency medical services or a qualified healthcare provider.
2. BOOKING AND SCHEDULING
2.1 All appointments for counselling sessions shall be booked exclusively through the booking portal available on the Website. The Counsellor offers both virtual and in person (offline) sessions. Virtual sessions shall be conducted through a secure video conferencing or telephone platform, while in-person sessions shall be conducted at the Counsellor’s designated location in Bengaluru, as communicated by Us at the time of making the booking.
2.2 Sessions are available from Monday to Friday between 10 a.m. – 1 p.m. and 5:30 p.m to 7:30 p.m (IST). No sessions are conducted on Sundays or public holidays, except as communicated otherwise by the Counsellor. Appointments are allotted on a first come first serve basis.
2.3 Each session is typically 50 – 60 min in duration. Sessions shall be scheduled based on Your requirements and the Counsellor’s availability.
2.4 Fees shall be paid online prior to the session, via UPI or bank transfer, as may be specified during the booking process. Fees once paid are subject to the Cancellation and Refund Policy as stated under Clause 3 of these Terms of Use.
2.5 The Services are limited to scheduled online or physical session. Messages or any other type of communications might not receive an immediate response. Emergency support is not provided via any communication channels or platforms like WhatsApp, email, call, social media.
2.6 Every rebooking, i.e., any bookings for subsequent sessions, must be done via the Website. These Terms, Privacy Policy and waiver form (available while booking) shall apply regardless of how You book or rebook Our sessions.
3. CANCELLATION AND REFUND POLICY
3.1 Fees for each session is payable in advance, prior to the confirmation of the booking. Once fees have been paid, they shall be governed by this Cancellation and Refund Policy. Any further bookings for subsequent sessions shall be made in the same manner as the first session, as provided for under Booking and Scheduling in Clause 2 of these Terms.
3.2 If You wish to cancel a booked session, the cancellation request must be communicated via email to the Contact Details provided under Clause 12 of these Terms. The following conditions shall apply:

3.3 If the Counsellor is unable to conduct a scheduled session, You may either opt for a reschedule of the session or to receive a full refund.
3.4 Where the Counsellor exercises their right to decline, suspend or discontinue the Services, You shall be entitled to a full refund of any fees paid in respect of counselling sessions that have not yet been provided. No refund shall be payable for any counselling sessions that have already been provided. Any refund issued under this Agreement shall be processed in accordance with the following terms:-

4. ELIGIBILITY TO BOOK SESSIONS
4.1 Any individual who has attained the age of 18 (eighteen) years and is legally competent to provide consent may book a session directly through the Website.
4.2 Individuals who are below the age of 18 (eighteen) years (“Minor(s)”), are permitted to access counselling services through the Website, strictly subject to the following:
a. The booking must be made by the parent or legal guardian of the Minor.
b. At the time of booking, the parent or legal guardian must provide a valid contact phone number.
c. The booking process shall require the parent or legal guardian to affirm their informed consent by selecting the mandatory consent checkbox before the booking is completed.
d. If a Minor books a counselling session without the knowledge or consent of their parent or legal guardian, or furnishes false or fabricated consent, the Counsellor and We shall bear no liability or responsibility whatsoever for investigating or verifying the authenticity of such consent.
e. The Counsellor may, if deemed necessary, notify the parent or legal guardian at the phone number provided during booking.
4.3 By completing the booking process on behalf of a Minor, the parent or legal guardian represents and warrants that they have the legal authority to provide such consent and that the information furnished at the time of making the booking is accurate and complete.
5. RIGHT TO REFUSE SERVICE
5.1 The Counsellor expressly reserves the right to decline, defer, or discontinue services, without assigning any reasons, and You cannot question the Counsellor’s decision in this regard, in circumstances including but not limited to the following:
a. The Counsellor, in their professional opinion, determines that You do not require counselling intervention;
b. Your condition, presentation, or the nature of treatment sought is beyond the scope of the Counsellor’s expertise or qualifications;
c. You require a level of psychiatric, medical, or clinical intervention that cannot be provided by a counselling psychologist;
d. Your conduct, communication, or behaviour is found to be threatening, abusive, or inappropriate towards the Counsellor or any other person;
e. Any other circumstance in which the Counsellor deems it professionally or ethically appropriate to decline services.
5.2 In the event of such refusal, the Counsellor may, at their discretion, provide a referral to an appropriate mental health professional or facility. Such referral shall not constitute any admission of liability or obligation on the part of the Counsellor.
5.3 The Counsellor reserves the right to terminate or suspend the Services offered to You, where in the Counsellor’s professional judgement, Your needs would be more appropriately addressed by a psychiatrist, psychologist, medical practitioner, or any other qualified healthcare professional or specialist as clinically appropriate.
6. USE OF THE WEBSITE
6.1 You agree to use this Website solely for lawful purposes and in accordance with these Terms. You shall not:
a. Submit false, misleading, or fraudulent information during the booking process;
b. Attempt to gain unauthorised access to any part of the Website or its systems;
c. Use the Website in any manner that may cause disruption, damage, or impairment to the Website or its services;
d. Use any automated system or bot to access the Website;
e. Scrape, crawl or extract content from the Website;
f. Audio record, video record, photograph, reproduce, or distribute the session or any details discussed during the course of the session without the prior written consent of the Counsellor.
6.2 Any contact information disclosed or shared on the Website while booking shall be confidential and not disclosed to any third party, except as required under by law.
7. DISCLAIMERS
7.1 If You are experiencing a mental health emergency or are in immediate danger or experiencing active suicidal ideation, or require urgent psychiatric intervention, You must not rely on the Website or the Services. You must immediately contact the appropriate emergency medical services or a qualified healthcare provider. We disclaim all liability arising from Your reliance on the Website or the Services in any emergency, crisis, or life-threatening situation.
7.2 Counselling outcomes vary from person to person. We make no representation, warranty, or guarantee regarding the effectiveness, suitability, or outcome of any counselling session or therapeutic process.
7.3 Any reviews, testimonials, ratings, or recommendations published on the Website reflect the personal opinions and experiences of Our respective Clients only and they do not constitute representations, warranties, or guarantees by the Counsellor or by Us regarding the quality or outcome of the Services. We do not verify or endorse such testimonials, and they should not be relied upon as an indication of the results that You may achieve.
7.4 All articles, blogs, videos, podcasts, and any other content made available through the Website are provided solely for general educational and informational purposes. Such content does not constitute medical advice, psychological diagnosis or any other form of professional healthcare advice. You should consult an appropriately qualified healthcare professional before acting upon any information made available on the Website. Any reliance on such content is entirely at Your own risk.
8. LIMITATION OF LIABILITY
8.1 To the fullest extent permitted by applicable law, We shall not be liable for any direct, indirect, incidental, consequential, special or exemplary damages or losses of any nature arising from or in connection with the use of the Website or the Services, including but not limited to any reliance placed on the content, advice, or guidance provided through the Website, any act or omission of the Counsellor in the course of providing the Services, or any outcome or result of any counselling session.
8.2 Except where liability cannot be excluded or limited under applicable law, the aggregate liability of the Counsellor and Us arising out of or in connection with the Website or the Services, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the total fees actually paid by You for the specific counselling session or Services giving rise to the claim.
9. GOVERNING LAW AND DISPUTE RESOLUTION
Any disputes or claims arising out of or in connection with this Agreement, will be governed by and construed in accordance with the laws of India. You specifically agree and submit to the exclusive jurisdiction of the Courts of Bangalore, Karnataka, India.
10. AMENDMENTS TO THE TERMS OF USE
We reserve the right to modify, update, or revise these Terms of Use at any time. The updated Terms of Use shall be notified via Your email address. Continued use of the Website or services following such changes shall constitute acceptance of the revised Terms.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold Us harmless from and against any claim, demand, loss, damage, or liability, including reasonable legal costs, arising out of or in connection with:
a. Your breach of these Terms;
b. Your misuse of the Website or the Services;
c. Your submission of false, inaccurate, or fraudulent information; or
d. Your violation of any applicable law or the rights of any third party.
